Terms & Conditions

The rules that govern your use of our website, products and services — including our ERP free trial.

Last updated: January 2026

01 Acceptance of Terms

By accessing or using the JX Software website (jxsoftware.in) and any related services — including our ERP free trial — you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website, trial, or services.

02 Services Provided

JX Software provides the following categories of services:

  • Custom website design and development — responsive, SEO-optimised marketing and business websites.
  • Custom web-based ERP software — industry-specific enterprise systems built to client specifications.
  • Digital marketing solutions — Meta Ads, Google Ads and WhatsApp marketing automation.

The exact scope, deliverables and timelines for any engagement are agreed in writing between JX Software and the client before work begins.

03 Project Timelines

Most projects are delivered within 3 to 15 working days from the date of approved requirements and receipt of any client-side content, access credentials and advance payments. Complex ERP deployments may extend beyond this range and will be scheduled transparently with the client.

Timelines may be affected by delays in client feedback, content submission or third-party dependencies outside our reasonable control.

04 Quotations, Payments and Refunds

  • All quotations are valid for 30 days unless otherwise stated.
  • Projects are typically billed with an advance payment (usually 40–50%) and the balance on delivery.
  • Retainer services (marketing, support, maintenance) are billed monthly in advance.
  • Advance payments become non-refundable once discovery or design work has commenced.
  • All prices are exclusive of applicable taxes (e.g. GST) unless explicitly stated.

05 Client Responsibilities

To enable us to deliver on time and to specification, you agree to:

  • Provide accurate business information, branding assets and content required for the project.
  • Respond to queries, review milestones and grant approvals within reasonable timeframes.
  • Ensure that any content you supply does not infringe third-party rights and complies with applicable laws.
  • Grant timely access to any third-party platforms required for delivery.

06 Intellectual Property

Upon full and final payment, the client receives ownership of the custom deliverables created specifically for them. JX Software retains ownership of:

  • Pre-existing libraries, frameworks, boilerplate code, and internal tooling.
  • Generic components and reusable architecture used across multiple client projects.
  • The JX Software name, logo, brand assets and any other proprietary marks.

Unless you request otherwise in writing, we may showcase completed projects in our portfolio.

07 Support and Maintenance

All paid projects include a warranty period during which bugs in delivered features are fixed free of charge. Post-warranty support is available under separately agreed maintenance plans. Support requests can be raised at support@jxsoftware.in.

08 Limitation of Liability

JX Software provides its services with reasonable professional skill and care but makes no guarantee of specific business outcomes. To the maximum extent permitted by law, JX Software shall not be liable for any indirect, incidental or consequential damages, or for any loss of profits, data or business opportunities.

Our total aggregate liability for any claim shall not exceed the fees paid by the client for the specific engagement giving rise to that claim.

09 Confidentiality

Both parties agree to keep confidential any non-public business, technical or commercial information disclosed during the engagement. We sign NDAs on request and never share client information with third parties except where required to deliver the agreed services or by law.

10 Termination of Paid Engagements

Either party may terminate a paid project with written notice. In the event of termination:

  • The client shall pay for all work completed up to the date of termination.
  • Deliverables that have been fully paid for will be handed over in a reasonable timeframe.
  • Advance payments for work not yet commenced may be partially or fully refunded at JX Software's discretion.

11 Website Use and Content

The content on this website is provided for general information only. While we strive to keep information accurate and current, we make no warranties about the completeness, accuracy or reliability of any information on the site.

12 Privacy

We collect only the information you provide voluntarily via our contact or free-trial forms. This information is used solely to respond to your enquiry, activate trial workspaces, and deliver services if we engage. We never sell or rent your personal information to third parties. To request deletion of your data, email support@jxsoftware.in.

13 Changes to These Terms

We may update these Terms & Conditions from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the website after changes constitutes acceptance of the revised terms.

14 Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.

Free Trial Terms — ERP Software

The following clauses apply specifically to any free trial of JX Software's ERP platform. By submitting the trial request form, you confirm that you have read, understood and accepted these terms on behalf of the business you represent.

T1 Trial Eligibility

The free trial is offered exclusively to registered businesses and organisations (B2B), not to individuals for personal use. By requesting a trial, you confirm that:

  • You are an authorised owner, manager, or employee of the business named in the request.
  • The information you provide (business name, owner/manager name, email, phone, description) is accurate and current.
  • You have authority to accept these terms on behalf of the business.
  • Your business has not already used a JX Software free trial in the preceding 12 months.

We reserve the right to decline or revoke any trial request at our discretion, including where information appears false, misleading, or incomplete.

T2 Trial Period

Unless otherwise agreed in writing, the trial runs for 3 to 5 consecutive calendar days from the date we email your login credentials. The trial period is:

  • Non-transferable — it belongs to the business named in the request.
  • Non-extendable by default, though extensions may be granted at our sole discretion.
  • Activated once — the clock starts on the day credentials are issued, whether or not you log in immediately.

T3 What's Included in the Trial

Your trial workspace typically includes, subject to availability and your industry:

  • Access to the standard ERP modules relevant to your business (e.g. inventory, orders, billing, CRM).
  • Up to five user seats for testing purposes.
  • Sample data and onboarding guidance to help you explore.
  • Limited onboarding support via email during business hours.

T4 What's Not Included in the Trial

Unless separately agreed in writing, the trial does not include:

  • Custom development, bespoke modules, or client-specific integrations.
  • Migration of production data from your existing ERP, spreadsheets, or legacy systems.
  • Integration with third-party tools, payment gateways, or external APIs.
  • Service Level Agreements (SLAs), uptime guarantees, or priority support.
  • On-site training, custom reporting, or white-labelling.

T5 Data You Enter During the Trial

You may enter or upload sample or real business data into your trial workspace to evaluate the software. You agree that:

  • Your trial data is stored in an isolated workspace and is not shared with any other client or tenant.
  • You will not upload sensitive personal data (e.g. customer payment card details, government ID numbers, health records) unless strictly necessary for your evaluation, and only in compliance with applicable data protection laws.
  • We may access your trial workspace for support, debugging and quality assurance purposes.
  • We may use anonymised, aggregated usage statistics (e.g. module usage patterns) to improve the product — never your identifiable business data.

T6 Acceptable Use During the Trial

You agree not to:

  • Use the trial for any unlawful, harmful, or fraudulent purpose.
  • Upload malware, viruses, or content that infringes third-party rights.
  • Attempt to reverse-engineer, decompile, or copy the software.
  • Resell, sublicense, or share your trial access with third parties.
  • Exceed specified user seats or attempt to bypass usage limits.
  • Use the trial for commercial production operations beyond evaluation.
  • Use automated scripts or scraping tools that place unreasonable load on our infrastructure.

We reserve the right to suspend or terminate the trial immediately if any of these restrictions are breached.

T7 Trial Limitations

Trial workspaces may include:

  • Rate limits on API calls, exports, and large batch operations.
  • Watermarks or demo notices in generated reports and documents.
  • Performance throttling to keep the environment stable for all trial users.
  • A maximum storage quota for uploaded files and records.

T8 No Warranty During the Trial

The trial is provided strictly on an "as is" and "as available" basis. We make no warranties, express or implied, including:

  • Any guarantee of uptime, availability, or uninterrupted access.
  • Fitness for a particular purpose or non-infringement.
  • That the trial will meet your specific business requirements.

You accept that the trial is a pre-release evaluation environment and may contain bugs, incomplete features, or scheduled maintenance downtime. We are not liable for any loss of data entered during the trial.

T9 Conversion to a Paid Subscription

At the end of the trial (or earlier if you request), we will share paid subscription options tailored to your business size and required modules. If you choose to upgrade:

  • Your trial data is preserved and migrated to your paid workspace.
  • Your user accounts, permissions and settings carry over.
  • Pricing, billing cycles and SLAs are governed by the separate paid agreement you sign.

You are under no obligation to purchase anything at the end of the trial.

T10 Termination of Trial

You may stop using the trial at any time — no notice required, no fee. We may suspend or terminate the trial:

  • At the end of the 3–5 day period.
  • Immediately, upon suspected breach of acceptable use (see T6).
  • If required for security, legal or infrastructure reasons.
  • If information in your trial request is found to be false or misleading.

T11 Data Retention After the Trial

If you do not convert to a paid subscription:

  • Your trial workspace becomes read-only for 7 days after the trial ends.
  • We retain your data for a total of 14 days after the trial period, during which you may request a copy or ask us to delete it.
  • After 14 days, all trial data is permanently and irrecoverably deleted from our systems.

You can request early deletion at any time by emailing support@jxsoftware.in.

T12 Intellectual Property

The trial software, its source code, design, documentation and all related intellectual property remain the exclusive property of JX Software. Nothing in these trial terms grants you any ownership rights. Any feedback, feature suggestions, or bug reports you provide may be used by us, without obligation or compensation, to improve our products.

T13 Confidentiality

Any non-public information you share with us — including your business description, operational details, and data entered into the trial — is treated as confidential. We will not disclose it to third parties except where strictly required to deliver the trial (e.g. our cloud infrastructure provider) or where required by law.

T14 No Support SLA During Trial

Support during the trial is offered on a best-effort, business-hours basis. Response times are not guaranteed, and no formal Service Level Agreement applies. Paid subscriptions include full SLAs.

T15 Changes to Trial Terms

We may update these Free Trial Terms from time to time. The version in force at the time you submit your trial request governs that trial. Continued use of the trial after an update constitutes acceptance of the revised terms.
